1. Agreement
These Terms of Use and End-User License Agreement ("Terms") govern access to and use of AccumIQ websites, software, integrations, dashboards, reports, and related services (the "Service"). By accessing or using the Service, an organization and its authorized users agree to these Terms and any applicable order form, statement of work, subscription agreement, or other written customer agreement.
If a separate written customer agreement conflicts with these Terms, the separate written agreement controls for that customer.
2. Limited business-use license
Subject to these Terms and payment of any applicable fees, AccumIQ grants the customer a limited, non-exclusive, non-transferable, revocable right for its authorized users to access and use the Service for the customer's internal business purposes.
Except as permitted by law or a written agreement, users may not copy, resell, sublicense, reverse engineer, bypass security controls, interfere with the Service, or use the Service to access information they are not authorized to access.
3. Customer data and authorization
Customers retain their rights in data they provide or authorize AccumIQ to access ("Customer Data"). The customer authorizes AccumIQ to process Customer Data as necessary to provide, secure, support, and improve the Service and to perform the customer's requested workflows.
The customer is responsible for ensuring that it has the rights and authority required to provide or connect Customer Data and for determining which users should have access.
4. Third-party integrations
The Service may connect to third-party platforms, including accounting, CRM, payroll, POS, inventory, logistics, and other business systems. Third-party services are provided by their respective owners and are subject to their own availability, terms, privacy practices, permissions, and technical limitations.
AccumIQ uses the access authorized by the customer. For supported accounting connections such as QuickBooks Online, AccumIQ's current financial integration is designed for read-only access unless a separate write-enabled function is expressly identified and approved.

5. Customer responsibilities
- Maintain accurate account information and protect user credentials.
- Use the Service only for lawful business purposes.
- Review reports, forecasts, recommendations, and reconciliations before acting on them.
- Maintain appropriate source-system controls, backups, and accounting or operational procedures.
- Promptly notify AccumIQ of suspected unauthorized access or material security concerns involving the Service.
6. Decision support; no professional advice
AccumIQ provides software, analytics, and decision-support tools. Outputs can depend on source data quality, configuration, timing, assumptions, and third-party availability. The Service does not replace professional accounting, tax, legal, investment, safety, human-resources, or other regulated advice. Customers remain responsible for business decisions and for verifying material information before relying on it.
7. Confidentiality
Non-public Customer Data and other confidential business information will be handled according to applicable customer agreements and reasonable confidentiality practices. Customers must also protect AccumIQ confidential information, credentials, non-public software materials, and security information.
8. Intellectual property
AccumIQ and its licensors retain ownership of the Service, software, interfaces, documentation, designs, methods, and related intellectual property, excluding Customer Data and third-party materials. No rights are granted except those expressly stated in these Terms or a written customer agreement.
9. Availability and disclaimers
We work to provide a reliable Service, but availability can be affected by maintenance, internet connectivity, third-party systems, data-source changes, outages, and events outside our control.
Except to the extent expressly stated in a written customer agreement or required by law, the Service is provided "as is" and "as available," without warranties of uninterrupted operation, error-free results, or fitness for a particular purpose.
10. Limitation of liability
To the maximum extent permitted by law, AccumIQ will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of goodwill, or loss of data arising from use of the Service. Any additional or different liability limits in a written customer agreement control for that customer.
11. Suspension and termination
Access may be suspended or terminated for material breach, nonpayment where applicable, security risk, unlawful use, or as otherwise permitted by an applicable customer agreement. Upon termination, access rights end. Data handling after termination is subject to the applicable agreement, legal requirements, backup practices, and our Privacy Policy.
12. Governing law
Unless a separate written customer agreement provides otherwise, these Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules.
13. Changes
We may update these Terms from time to time. The "Last updated" date shows the most recent revision. Material changes may be communicated through the Service or another reasonable channel.
